IBX is a Liechtenstein-based anonymous company specialized in the selection, evaluation, management, and maintenance of bitcoin mining equipment (“Miners”), and has facilities for mining operations, preferably using renewable energy, in various parts of the world. IBX has issued the Bitcoin Hash Token (“BHP”), a token that represents ownership of computing power (Hash) for Bitcoin mining, equivalent to 1 Terahash per token. Finally, IBX has developed a management system that allows the Customer to have a clear, transparent, and real-time view of the computing power owned by them.
IBX provides this service on behalf of the owner of the computing power (Mining as a Service, hereinafter “MaaS”). The MaaS service includes, on behalf of the Customer, negotiation of favorable electricity rates, installation, management, and optimization of the Miners.
By activating their BHP, the Customer has requested MaaS service from IBX. The Customer is aware that IBX cannot guarantee that the mining activity will be profitable, and it depends on factors such as electricity prices and the price of Bitcoin. In particular, the price of Bitcoin is highly volatile, with large fluctuations, and changes in the level of difficulty of the hashrate for Bitcoin mining are always increasing, making mining less profitable with outdated machines and necessitating their replacement after a few years of operation. Changes in the market price of Bitcoin and\/or hashrate can have a negative effect on the mining equipment’s capacity. The Customer declares to have been duly informed of such risks and accepts them. Any liability on the part of IBX (including in the case of a total loss of the Customer’s invested capital) is explicitly excluded. In particular, the Customer has been informed that as the halving approaches, the mining activity may also be suspended if revenues are not sufficient to cover the costs of machine usage.<\/p>\n

The MaaS solution offered by IBX to the Customer includes:<\/p>\n

  • Advanced and pre-installed necessary infrastructure;<\/li>\n
  • Dedicated space in IBX mining farm;<\/li>\n
  • Internet connection necessary for the operation of the Miners;<\/li>\n
  • Inspection of Miners’ conditions upon delivery;<\/li>\n
  • Miners set-up;<\/li>\n
  • Networking infrastructure set-up;<\/li>\n
  • Cooling infrastructure set-up;<\/li>\n
  • Initial configuration of the Miners;<\/li>\n
  • Operational management of installed Miners and their system integration;<\/li>\n
  • Ordinary and extraordinary maintenance of the Miners;<\/li>\n
  • Possible modification and optimization of Miners’ firmware;<\/li>\n
  • Network optimization and communication with mining pools;<\/li>\n
  • Maintenance and management of the Customer’s hashing power;<\/li>\n
  • Replacement of hashing power at the end of the Miner’s lifecycle;<\/li>\n
  • Use of electricity supply contracts negotiated by IBX.<\/li>\n<\/ul>\n

    \u00a0<\/p>\n

    The MaaS solution includes a continuous process of monitoring and optimization of the Miners, following their evolution over time, maximizing their lifespan and optimizing their earnings over time. IBX will perform the services within its own infrastructure, following the same policies applied to its own mining activities, including the choice of mining pools and cryptocurrencies to mine. IBX will not manage the Customer’s exchanges, therefore, it will not be able to carry out transactions or withdrawals from such exchanges. However, IBX, having access to the addresses, may verify all transactions.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    The Client acknowledges a monthly Maintenance fee for the entire duration of the contract, covering the costs of maintenance, internet connection, rent and management of premises, management and maintenance of network and electrical infrastructure, monitoring and software maintenance of Miners, and other MaaS services offered, as well as disposal of Miners at the end of their lifecycle. The Maintenance fee will be calculated by third-party providers (electricity, hosting). The amount will be deducted from the earnings obtained from the Miners.<\/p>\n

    The Client acknowledges to IBX a Management fee of 5% (+VAT) on the pre-tax net income derived from the mining operations of the Client under this contract.<\/p>\n

    Payments IBX will ensure the transfer of proceeds from the mining activity, after deduction of the Maintenance and Management fees, to the Client’s BHP token activity wallet. Credits to the Client’s wallet will be made according to the schedule provided by the Mining Pool used by IBX.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    • Custodial services for the Client’s cryptocurrencies or private keys related to cryptocurrencies;<\/li>\n
    • Configuration of cryptocurrency wallets or exchanges for the Client.<\/li>\n<\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      IBX complies with the Data Protection regulation and does not collect any personal data with the exception of the client wallet used for the transfer of the mining gains. Pleaser refer however to the AML section of these Terms.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      IBX grants the Customer, for the duration of the contractual relationship, the non-exclusive right to use the services provided by IBX in accordance with the contract. All other rights, especially those related to intellectual property (copyrights, trademarks, etc.), as well as those related to IBX services, remain the property of IBX or any legitimate third parties and cannot be claimed by the Customer<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      The contract commences upon activation of the BHP token, which is executed by transferring the token to the activation wallet at a designated exchange, and it lasts until its deactivation (transferring the token out of the activation wallet).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      Except for the exceptions contained in the following clause, IBX, as well as its officers, directors, employees, and suppliers, shall not be liable for any losses arising from or related to the purchase of BHP in connection with mining activity, any interruptions or technical malfunctions of mining equipment, interruption of electricity, theft of equipment, or loss of equipment due to any type of incident such as theft, water damage, or other. In particular, IBX disclaims any liability for damages caused by the malfunction of the internet network and\/or the failure to provide electricity. The above limitation of liability shall not apply in case IBX or an IBX employee has caused the damage intentionally or through gross negligence. The Customer also provides a release of liability and undertakes to indemnify IBX in case of illegal or deemed inappropriate use of the BHP Token<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      The Customer has been informed that for the Bitcoin transfer service, IBX uses a duly authorized counterparty that must comply with anti-money laundering regulations and proceed with identification accordingly.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      This contract is exclusively governed by the law of Liechtenstein. In case of disputes, the contracting parties undertake to find a consensual solution within 1 month.       IBX \u00e8 una societ\u00e0 anonima con sede in Liechtenstein specializzata nella scelta, valutazione, gestione e manutenzione di apparecchiature per il mining (\u201cMiner(s)\u201d) di bitcoin e dispone di spazi predisposti per le operazioni di mining, nel limite del possibile tramite energia rinnovabile, in varie parti del mondo. IBX ha emesso il Bitcoin Hash Token (\u201cBHP\u201d), un token che rappresenta la propriet\u00e0 di potenza di calcolo (Hash) per l\u2019attivit\u00e0 di mining di Bitcoin nella misura di 1 Terahash per token. Infine, IBX ha sviluppato un gestionale che permette al Cliente di avere una visione chiara, trasparente e in tempo reale del lavoro della potenza di calcolo da lui posseduto. IBX svolge questo servizio per conto del proprietario della potenza di calcolo (Mining as a Service, di seguito \u201cMaaS\u201d).<\/p>

      Il servizio di MaaS prevede, per conto del Cliente, la negoziazione di tariffe elettriche favorevoli, l\u2019installazione, la gestione e l\u2019ottimizzazione dei Miners.<\/p>

      Attivando il proprio BHP, il Cliente ha richiesto a IBX un servizio MaaS. Il Cliente \u00e8 cosciente che IBX non pu\u00f2 garantire che l\u2019attivit\u00e0 di mining sar\u00e0 redditizia e che la stessa dipende da fattori come il prezzo dell\u2019elettricit\u00e0 e il prezzo del Bitcoin. In particolare il prezzo del Bitcoin \u00e8 altamente volatile, con ampie oscillazioni e le modifiche nel livello di difficolt\u00e0 degli hashrate per il Mining di Bitcoin \u00e8 sempre in ascesa, rendendo meno redditizia l\u2019attivit\u00e0 di mining con macchine vetuste e obbligando a cambiare le stesse dopo qualche anno di attivit\u00e0. Variazioni del prezzo di mercato del Bitcoin e \/ o degli hashrate possono avere un effetto negativo sulla capacit\u00e0 delle apparecchiature di mining. Il Cliente dichiara di essere stato debitamente informato di tale rischio e di accettarlo. Ogni qualsiasi responsabilit\u00e0 da parte di IBX (anche nel caso di una totale perdita del capitale investito da parte del Cliente) viene pertanto esplicitamente esclusa. In particolare il cliente \u00e8 stato informato che con l\u2019approcciarsi dell\u2019halving, l\u2019attivit\u00e0 di mining potrebbe anche essere sospesa se i ricavi non fossero sufficienti a coprire i costi di uso della macchina.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

      La soluzione di MaaS di IBX offerta al Cliente include:<\/p>

      • Infrastruttura necessaria all\u2019avanguardia e gi\u00e0 installata;<\/li>
      • Spazio dedicato nella mining farm IBX;<\/li>
      • Connessione internet necessaria al funzionamento dei Miners;<\/li>
      • Ispezione condizioni dei Miners alla consegna;<\/li>
      • Set-up dei Miners;<\/li>
      • Set-up infrastruttura networking;<\/li>
      • Set-up infrastruttura cooling;<\/li>
      • Configurazione iniziale dei Miners;<\/li>
      • Gestione operativa dei Miners installati e della loro integrazione di sistema;<\/li>
      • Manutenzione ordinaria e straordinaria dei Miners;<\/li>
      • Eventuale modifica e ottimizzazione firmware dei Miners;<\/li>
      • Ottimizzazione network e comunicazioni con mining pools;<\/li>
      • Manutenzione e gestione dell\u2019hashing power del Cliente;<\/li>
      • Sostituzione dell\u2019hashing power allo scadere del ciclo di vita del Miner;<\/li>
      • Utilizzo dei contratti di fornitura energia elettrica negoziati da IBX.<\/li><\/ul>

        La soluzione MaaS include un processo continuo di monitoraggio e ottimizzazione dei Miners, seguendo la loro evoluzione nel tempo, massimizzando la loro durata di vita e ottimizzando il loro guadagno nel tempo.<\/p>

        IBX svolger\u00e0 i servizi all’interno della propria infrastruttura, seguendo le stesse politiche applicate alle proprie attivit\u00e0 di mining, inclusi la scelta dei mining pool e delle criptovalute da minare. IBX non gestir\u00e0 gli exchanges del Cliente, quindi non potr\u00e0 effettuare transazioni o prelievi da tali exchanges. IBX, avendo gli indirizzi a disposizione, potr\u00e0 per\u00f2 verificare tutte le transazioni.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

        Il Cliente riconoscer\u00e0 una Maintenance fee mensile per tutta la durata del contratto a copertura dei costi di manutenzione, di connessione a internet, di affitto e gestione dei locali, di gestione e manutenzione dell’infrastruttura di rete e di quella elettrica, del monitoring e della manutenzione software dei Miners e degli altri servizi di MaaS offerti, lo smaltimento dei Miners al termine del loro ciclo di vita.<\/p>

        La Maintenance fee \u00e8 calcolata dai fornitori terzi (elettricit\u00e0, hosting). L\u2019importo sar\u00e0 dedotto ogni mese dai guadagni ottenuti dei Miners.<\/p>

        Il Cliente riconoscer\u00e0 ad IBX una Management fee del 5% (+IVA) sulla rendita netta ante imposte derivante dalle operazioni di mining del Cliente del presente contratto.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

        Versamenti<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

        IBX provveder\u00e0 ad assicurare il trasferimento del provento dall\u2019attivit\u00e0 di Mining, dopo deduzione della Mantainace e della Management Fee, al wallet di attivit\u00e0 del token BHP del Cliente.<\/p>

        Gli accrediti sul wallet del Cliente saranno effettuati secondo le cadenze previste dalla Mining Pool. Utilizzata da IBX.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

        Il Cliente si impegna a non operare alcuna concorrenza sleale nei confronti di IBX, in particolare copiandone il \u201cbusiness model\u201d e\/o utilizzandone indebitamente i contatti commerciali.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

        • Garanzie relative ai Miners forniti;<\/li>
        • Costi relativi al cambio di Bitcoin, servizi legali, fiscali ed amministrativi per regulatory compliance;<\/li>
        • Servizi di custodia delle criptovalute o delle chiavi private relative alle criptovalute del Cliente;<\/li>
        • Configurazione di portafogli di criptovalute o exchange del Cliente.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          IBX concede al Cliente, per la durata del rapporto contrattuale, il diritto non esclusivo di utilizzo dei servizi messi a disposizione da IBX in conformit\u00e0 al contratto.           Il contratto inizia con l\u2019attivazione del token BHP, eseguito con il trasferimento del token nel wallet di attivazione presso un exchange convenzionato e dura fino alla sua disattivazione (il trasferimento del token fuori dal wallet di attivazione).<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          Inefficienza di singole disposizioni<\/h4>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          Se una disposizione del presente contratto \u00e8 legalmente inefficace o non applicabile, la validit\u00e0 del contratto per quanto riguarda le altre disposizioni non \u00e8 pregiudicata.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          Fatte salve le eccezioni contenute nella clausola successiva IBX, nonch\u00e9 i suoi funzionari, direttori, dipendenti e fornitori, non si assume alcuna responsabilit\u00e0 per eventuali perdite derivanti o correlate all\u2019acquisto dei BHP in relazione con l\u2019attivit\u00e0 di mining, a eventuali interruzioni o malfunzionamenti tecnici degli apparecchi di mining, all\u2019interruzione di energie elettrica, al furto degli apparecchi o alla perdita degli stessi per qualsiasi tipo di incedente quale furto, danni per acqua o altro.<\/p>

          In particolare, IBX declina qualsiasi responsabilit\u00e0 per eventuali danni causati dal cattivo funzionamento della rete internet e\/o dalla mancata fornitura di energia elettrica.<\/p>

          La limitazione di responsabilit\u00e0 di cui sopra non sar\u00e0 applicabile nel caso in cui IBX o un dipendente IBX abbia causato il danno per colpa intenzionale o negligenza grave.<\/p>

          Il Cliente fornisce inoltre uno scarico di responsabilit\u00e0 e s\u2019impegna a tenere indenne IBX in caso di usi illegali e\/o considerati non idonei del BHP Token.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          ll Cliente \u00e8 stato informato che per il servizio di trasferimento di Bitcoin IBX utilizza una controparte debitamente autorizzata che dovr\u00e0 procedere alla sua identificazione conformemente alle normative sul riciclaggio di denaro.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

          Per il presente contratto \u00e8 applicabile esclusivamente il diritto del Liechtenstein. In caso di controversie, le parti contraenti si impegnano a trovare una soluzione consensuale entro il termine di 1 mese.
